CIR: LISTS PRESENTED FOR THE ELECTION OF THE BOARD OF STATUTORY AUDITORS
Milan, April 4 2011 – CIR-Compagnie Industriali Riunite S.p.A. gives notice that as of today only one list has been presented for the appointment of the Board of Statutory Auditors for financial years 2011 – 2013 which will take place at the Ordinary and Extraordinary Annual General Meeting of the Shareholders convened for April 28 2011 at 10.30 a.m., at the first call, and for April 29 2011 at the same time, at the second call.
The list presented by COFIDE-Gruppo De Benedetti S.p.A., which has voting rights on 363,771,164 ordinary CIR shares, corresponding to 45.924% of the share capital of the Company, contains the following candidates:
Candidates for the position of Statutory Auditor
1. Prof. Pietro MANZONETTO
2. Dott. Luigi NANI
3. Dott. Riccardo ZINGALES
Candidates for the position of Alternate Auditor
1. Dott. Raffaele CATARINELLA
2. Dott. Luca VALDAMERI
3. Dott. Luigi MACCHIORLATTI VIGNAT
Since only one list has been presented, in accordance with the second paragraph of Art. 144-octies of Consob Resolution no. 11971 of 14.5.1999 and subsequent amendments and additions, notice is hereby given that further lists may be presented until April 6 2011 and that the threshold of 2% set out in Art. 19 of the Company Bylaws is now reduced by one half as per the fifth paragraph of Art. 144-sexies of the Resolution.
The curricula vitae and the complete documentation with which the candidates accept their candidature and attest that they possess the requisites required by law and by the Company Bylaws together with full personal and professional profiles will be available to the public as from April 7 2011 at Borsa Italiana S.p.A., on the website www.cirgroup.com and at the Company headquarters in Milan, via Ciovassino 1.
