Our Vision

Our focus has always been industrial. We operate as a responsible shareholder, bringing together an entrepreneurial spirit and solid financial discipline.

We work for the development and consolidation of our subsidiaries, in a governance framework that allows us to define strategies and take decisions with a view to creating value in the long term.

Throughout our history, we’ve stood out for our capacity to bring new entrepreneurial initiatives to life. In recent years, we have redesigned our strategy to focus on our three core businesses: healthcare, automotive components and media.

The company’s main shareholder is the De Benedetti family which, for a number of years, has entrusted management to a team headed at the group level by Monica Mondardini, who has been Chief Executive Officer since 2013.  

A portfolio of balanced activities

Our portfolio of activities is diversified and balanced.

KOS is the leading national operator in terms of revenues and number of beds in the field of homes for the not self-sufficient aged and among the leading operators in functional rehabilitation and psychiatry. With the acquisition of Charleston, KOS aims to become a pan-European operator.

Sogefi is one of the top Italian companies in automotive components, as well as being a sector leader at the world level. Listed in the STAR segment on the Milan stock exchange, it operates in 23 countries and three market segments: suspension, filters, air and cooling systems.

GEDI Gruppo Editoriale is one of the principle Italian players in the media sector, active in the press – with some of the country’s most prestigious newspapers – radio and advertising. Listed in the STAR segment of the Milan stock exchange, the company is the leader in daily news and multi-media in Italy.

Being a significant participant in three different sectors enables us to interact with a plurality of stakeholders.

CIR-COFIDE merger

An important turning point for our group

The merger between CIR and its controlling company COFIDE came into effect on January 1, 2020, permitting a simplification of the group’s structure, aligning it with the market’s evolution and improving our governance.

The key objectives of the merger: 

  • shorten the control chain with regard to the operating company, in line with international best practices, the expectations of the market and regulatory authorities
  • create a company with a bigger float to make the shares more liquid and therefore more attractive
  •  reduce operating costs linked to maintaining two listed holdings and simplify the company governance structure, creating synergies to the advantage of all shareholders

The merger took place through the incorporation of CIR into COFIDE, with 2.01 new COFIDE shares exchanged for 1 CIR share. The new holding company denominated CIR confirms its focus on industrial activities.

At the conclusion of the merger, CIR is controlled by Fratelli De Benedetti S.p.A.(through its ownership of 30% of ordinary capital and 45% of voting rights), a holding company in which the brothers Rodolfo, Marco and Edoardo De Benedetti directly or indirectly hold 100% of company capital and voting rights.
